01What the Service Is

AdvisoryScout is an intelligence platform that monitors publicly available information to detect financially relevant life events associated with individuals identified by financial advisors as their clients. The platform surfaces detected events to advisors for review, approval, and optional CRM integration. AdvisoryScout does not access private data, does not process non-public personal information, does not store client financial data, and does not automatically update any CRM or client record without explicit advisor approval.

02Who Can Use It

Access to AdvisoryScout is limited to registered financial advisors, investment adviser representatives, broker-dealer registered representatives, and their affiliated firms. By creating an account, you represent that you are a licensed financial professional operating in compliance with applicable securities regulations and your firm's compliance policies. Use of this platform by individuals who are not financial professionals is strictly prohibited.

03How We Use Client Data Provided by Advisors

Financial advisors may provide the platform with information about their clients including names, employers, locations, and household members solely for the purpose of enabling event detection. AdvisoryScout uses this information only to query publicly available sources. We do not sell, share, license, or otherwise disclose advisor-provided client information to third parties. We do not use advisor-provided client information to train machine learning models. Advisor-provided client data is stored solely for the purpose of operating the detection service and is deleted upon account termination within 30 days.

04Public Data Only — Explicit Statement

All information surfaced by AdvisoryScout is derived exclusively from publicly available sources including but not limited to public news sources, press releases, public regulatory filings, public court records, public social media, public business registries, and public property records. AdvisoryScout does not access, process, or store non-public personal information, private financial records, credit data, health records, or any information obtained from sources requiring individual consent or authorization.

05Advisor Responsibilities and Compliance Obligations

Advisors are solely responsible for ensuring their use of the platform complies with applicable securities regulations, their firm's compliance policies, and any applicable privacy laws. AdvisoryScout does not provide legal or compliance advice. The platform is designed as an internal workflow tool to assist advisors in identifying publicly available information relevant to client relationships. Advisors should consult their compliance department before using detected events as the basis for client outreach or CRM entries. Although the confidence system assists in verification, advisors are responsible for verifying the accuracy of detected events before acting on them.

06No Guarantee of Completeness

AdvisoryScout makes no representations regarding the completeness, timeliness, or reliability of detected events. Events surfaced by the platform are derived from public sources and are provided for informational purposes only. The platform does not guarantee that all relevant events will be detected.

07Acceptable Use

Users may not use AdvisoryScout to monitor individuals who are not their clients or prospective clients in a legitimate advisory capacity. Users may not use the platform to stalk, harass, or conduct surveillance of individuals. Users may not resell, sublicense, or otherwise provide access to the platform to third parties. Users may not use detected events in a manner that violates applicable privacy laws or securities regulations. Users may not attempt to circumvent the platform's design by manually extracting data at scale.

08Intellectual Property

The AdvisoryScout platform, including its design, software, algorithms, and user interface, is the intellectual property of AdvisoryScout. Detected event data surfaced through the platform is derived from public sources and is not proprietary to AdvisoryScout. Users retain ownership of client data they provide to the platform.

09Subscription, Payment, and Cancellation

AdvisoryScout is offered on a subscription basis. Subscription fees are billed monthly or annually as selected at the time of purchase. Subscriptions may be cancelled at any time. Upon cancellation, access to the platform will continue through the end of the current billing period. No refunds are provided for partial billing periods. AdvisoryScout reserves the right to modify pricing with 30 days written notice.

10Termination

AdvisoryScout reserves the right to suspend or terminate accounts that violate these Terms of Service, at its sole discretion, with or without notice. Upon termination, advisor-provided client data will be deleted within 30 days.

11Limitation of Liability

To the maximum extent permitted by applicable law, AdvisoryScout's liability for any claim arising from use of their platform is limited to the amount paid by the user in the three months preceding the claim. AdvisoryScout is not liable for indirect, consequential, incidental, or punitive damages of any kind. AdvisoryScout is not liable for any regulatory action, compliance violation, or client harm resulting from an advisor's use of detected events.

12Governing Law and Dispute Resolution

These Terms of Service are governed by the laws of the State of New Hampshire. Any disputes arising under these Terms shall be resolved through binding arbitration in Manchester, New Hampshire, under the rules of the American Arbitration Association.
